Vodafone to Buy Out CK Hutchison from VodafoneThree

Vodafone has announced a £4.3 billion deal to acquire full ownership of its VodafoneThree business in the UK by buying out its partner, CK Hutchison. The VodafoneThree venture was established last year following the merger of mobile operators Vodafone and Three in the UK. Under the original agreement, Vodafone held a 51% stake, while Hong Kong-based Three owner CK Hutchison owned the remaining 49%.

Valuation and Growth

The latest transaction values VodafoneThree at £13.85 billion, including debts. Since its formation, VodafoneThree has become the UK's largest mobile operator and one of the fastest-growing broadband providers in the country. Company executives noted a "strong start to the integration" of the merged brands, which positions them to achieve approximately £700 million in annual cost efficiencies by 2030.

Margherita Della Valle, chief executive of Vodafone Group, expressed satisfaction with the progress made since the merger. "A year on from the merger, the team has made remarkable progress as we maximise the full potential of VodafoneThree and capture the significant synergies," she said. "I’m delighted that we will now have full ownership of VodafoneThree as we roll out one of Europe’s most advanced 5G networks, provide the UK’s best customer experience and drive long-term value for our shareholders."

Frank Sixt and Dominic Lai, CK Hutchison Group co-managing directors, described the transaction as a "win-win" for both parties. "This transaction is a win-win for the group and for our partners. It generates substantial cash proceeds to the group and crystallises solid value for the group from our investment," they stated.

Regulatory and Operational Outlook

The deal is subject to regulatory approval, including under the UK National Security and Investment Act, and is expected to be completed in the second half of this year. Max Taylor will continue as chief executive of VodafoneThree, and the company has emphasised that there will be "no change" to its multi-brand strategy.
