Canadian hydrogen fuel cell leader Ballard Power Systems Inc has acquired Tyneside-based clean energy firm GeoPura in a deal valued at £301.1 million. The acquisition, announced at an investor event in Vancouver, is described as transformative for both companies and marks a significant investment in UK clean energy and manufacturing.

Deal details and structure

Ballard has paid £275 million upfront for GeoPura, with an additional contingent consideration of up to £27.5 million if GeoPura achieves certain financial milestones after closing. The total enterprise value, including GeoPura's net debt and excluding the contingent consideration, is £301.1 million. The deal was triggered by Lord Richard Harrington of Watford, GeoPura's chairman, who will step down from that role and join Ballard's board alongside GeoPura CEO and founder Andrew Cunningham.

GeoPura's business and operations

Founded in 2019, GeoPura has become one of the UK's leading clean energy companies, providing zero-emission power solutions that replace diesel generators. Its Hydrogen Power Units (HPUs) harness green hydrogen to deliver reliable off-grid and grid-support electricity. The company is headquartered at Siemens Energy in Newcastle's Byker district, with additional hubs in Sheffield and Nottingham, and employs around 200 people. GeoPura has raised nearly £200 million since its founding and counts customers including the Ministry of Defence, National Highways, Balfour Beatty, BAM, the BBC, and Equinix.
